Board reporting and internal controls are often treated as formalities in owner-led companies. To anyone assessing the business from outside, they are the first signal of a company that is ready.

01Why governance matters earlier than expected

In owner-led companies, decisions are often made quickly and informally, which is one of their strengths. But informality leaves little evidence behind. When an outside party asks how a decision was made, who approved it and on what information, the answer should not depend on memory.

Good governance in a growing company does not require a large board or heavy process. It requires a small number of habits, applied consistently.

    Scheduled meetings, a standing agenda and minutes that record decisions and their rationale.

    The same core measures, in the same format, closed within a fixed number of days.

    A written view of who can approve what, and at which thresholds.

    Independent perspective

    At least one experienced voice who is not part of day-to-day management.

Governance is the record of how a company thinks. It should be easy to read.

03Proportionate, not bureaucratic

The aim is not to slow the business down. The best governance frameworks in growing companies are light, predictable and genuinely useful to management, because they improve the quality of decisions as well as the record of them.
