What sophisticated partners look at first

Long before anyone reads the plan in detail, experienced partners form a view from three things: the quality of earnings, the spread of customers and the depth of the team.

At a glance
  1. 01

Experienced partners follow a remarkably consistent sequence when they assess a company for the first time.

  2. 02

Earnings quality comes first, customer concentration second and management depth third.

  3. 03

Owners who prepare in the same order spend their first meetings on the opportunity, not on explaining the basics.

01A consistent order of questions

Whether the conversation is with a prospective partner, a board candidate or a future owner, the first hour tends to follow the same path. Understanding that path, and preparing for it, is one of the simplest ways to make a strong first impression.

  1. 01
    Quality of earnings

How much of reported profit is recurring, cash-backed and likely to continue under different ownership or leadership.

  2. 02
    Customer concentration

How dependent the business is on a small number of clients, contracts or referral sources.

  3. 03
    Management depth

Whether the company can operate, and grow, without the founder involved in every decision.

02Earnings quality sets the tone

Reported profit is the starting point, not the conclusion. Partners want to understand which parts of it repeat, which depend on one-off events, and how closely profit converts to cash. A clear, reconciled bridge from reported to underlying earnings answers most of those questions before they are asked.

The first hour is spent testing the numbers. Prepared owners spend it discussing the opportunity.

03Concentration and depth complete the picture

Once earnings are understood, attention turns to resilience. A business with its largest client below a tenth of revenue, and a second tier of leaders who own their functions, reads very differently from one where both revenue and decisions run through a handful of relationships.

04Preparing in the same order

The practical lesson is simple: prepare in the order you will be assessed. Owners who can speak fluently to earnings, concentration and team in the first meeting move the conversation to strategy and opportunity far sooner, and they set the tone for everything that follows.

Questions for leadership
  1. 01

Can we explain the bridge from reported to underlying earnings in one page?

  2. 02

How exposed are we to our top three customers?

  3. 03

Who, besides the founder, could lead the first meeting with a partner?
